Welcome to Faction Media IO LLC (“Faction Media”, “we”, “our”, or “us”). These Terms form a binding agreement between you (“User”, “you”, or “your”) and Faction Media IO LLC, governing your use of all Services offered by us, whether through our website or directly through custom client engagements.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Eligibility
You must be at least 18 years of age to use our Services. By agreeing to these Terms, you represent that you meet this requirement.
3. Services Provided
Faction Media IO LLC provides digital marketing, web development, funnel building, CRM management, media buying, and consulting services. Specific features, deliverables, and timelines may be governed by separate service agreements, proposals, or statements of work (“SOW”) issued to clients.
4. Payments and Billing
All payments for services are due as outlined in the individual agreement or invoice provided.
Late Payments: Invoices not paid within the agreed-upon terms may be subject to a late fee of 1.5% per month or the maximum allowed by law.
Subscription Services: If you subscribe to recurring services (e.g., CRM access, hosting, or support), you authorize Faction Media IO LLC to charge your payment method on file for ongoing services until cancellation.
Cancellation Policy: For monthly subscriptions, you may cancel anytime with written notice via email to join@factionmedia.io at least 5 business days prior to the renewal date.
5. Intellectual Property
All content, graphics, software, and materials created or provided by Faction Media IO LLC remain the property of the company unless otherwise agreed upon in writing.
You may not:
- Copy, distribute, or repurpose our work without permission.
- Use any trademarks, logos, or intellectual property associated with Faction Media IO LLC without authorization.
6. User Conduct
You agree to use our Services only for lawful purposes. You must not:
- Attempt to gain unauthorized access to systems or data.
- Distribute malware or other harmful code.
- Use our Services in any way that infringes the rights of others.
7. Disclaimers
Our Services are provided “as is” and “as available” without warranties of any kind, either express or implied. We do not guarantee:
- That the Services will be uninterrupted or error-free.
- That defects will be corrected.
- That the Services will meet your specific business needs.
We are not liable for loss of data, lost profits, or business interruptions resulting from the use or inability to use our Services.
8. Limitation of Liability
To the fullest extent permitted by law, Faction Media IO LLC and its affiliates, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of our Services.
Our maximum liability to you for any claim arising out of or related to the Services is limited to the total amount you paid us in the 90 days preceding the claim.
9. Termination
We reserve the right to suspend or terminate your access to the Services at any time, with or without cause or notice. You may terminate your use of our Services by notifying us in writing at join@factionmedia.io.
Upon termination, all rights granted to you under these Terms will immediately cease, and any unpaid obligations shall remain due.
10. Modifications to Terms
We reserve the right to update or change these Terms at any time. Changes will be posted on this page, with the revised date. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or related to these Terms must be brought in a court of competent jurisdiction located in Nevada.
